Excel Oil Service
Website and customer service terms and conditions
Effective Date: 10/01/2026
These Terms and Conditions are issued by Al Warren Oil Company, Inc. (“Al Warren Oil,” “we,” “us,” or “our”). “Website” means https://www.alwarrenoil.com/. Part A addresses Website use. Part B contains terms for customer transactions when expressly incorporated into an accepted Order. Part C applies as relevant to both. “Customer” means the person or business purchasing the products or services in the Order.
These Website Standard Terms and Conditions written on this webpage shall manage your use of our website, Excel Oil Service accessible at www.exceloilservice.com.
Part A Website terms
A1 Acceptance and permitted use
These website terms apply when you accept them through a feature that requests agreement or otherwise use the Website after receiving legally sufficient notice of them. If you do not agree, discontinue use. You may use the Website for lawful personal or business purposes, including reviewing our services, contacting us, and submitting authorized requests. A person accepting terms for a business must have authority to do so.
A2 Prohibited conduct
You must not submit false or unlawful information, impersonate another person, introduce malicious software, interfere with Website operations, bypass access controls, access another person’s account, or collect personal information without authorization. Automated access that disrupts the Website or circumvents security restrictions is prohibited.
A3 Website content and ownership
Website text, photographs, graphics, logos, and other materials belong to us or their respective owners and are protected by applicable intellectual property laws. You may view, download, and print reasonable portions for your own use or internal business evaluation, while retaining ownership notices. Other reproduction, resale, or commercial distribution requires the rights holder’s permission, except as permitted by law. No trademark rights are granted.
A4 Forms and communications
Provide accurate information and only material you are entitled to share. You retain ownership of your submissions and authorize us to use them to evaluate and respond to your request, provide agreed services, and maintain business records, subject to applicable privacy requirements. Do not submit payment card information, Social Security numbers, or other unnecessary sensitive information through general inquiry forms. A website inquiry, quote request, or automated acknowledgment does not confirm an order, service appointment, or customer contract. We may respond using the contact details you provide. Submitting a request does not itself authorize unrelated marketing messages; any consent required for marketing will be requested separately.
A5 Privacy
Our Privacy Policy at https://www.alwarrenoil.com/privacy-policy/ explains how we handle personal information collected through the Website. Review that policy and any applicable portal policy. These Terms do not replace privacy notices or override privacy rights and consent requirements.
A6 Links and separate online services
Links may lead to affiliated companies, vendors, social media, or other websites. Those sites may have separate terms and privacy policies. We do not control independent third-party content or operations. Any separate account or portal agreement applies to that service.
The linked payment and credit application portal may have separate terms. Use authorized payment channels, verify payment instructions with us if they unexpectedly change, and safeguard any fuel card, chip key, or account credentials. Responsibility for account transactions is governed by the accepted account agreement and applicable law.
A7 Website information and availability
Website content provides general information. Product descriptions, service areas, equipment availability, and published estimates may change; confirm details with us before placing an order. The Website is not a substitute for safety data sheets, operating instructions, or professional legal, engineering, or environmental advice. TO THE EXTENT PERMITTED BY LAW, THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS OR THAT ALL CONTENT IS FREE OF ERRORS. THIS WEBSITE DISCLAIMER DOES NOT DISCLAIM WARRANTIES OR DUTIES THAT APPLY TO PRODUCTS OR SERVICES UNDER PART B, AN ACCEPTED ORDER, OR APPLICABLE LAW.
A8 Website access and careers
We may restrict Website access reasonably necessary for security, maintenance, or enforcement of these Terms. If you receive authorized login credentials, keep them confidential and promptly report suspected misuse. Careers information and application submissions do not constitute an offer of employment or change any separate employment agreement.
Part B Customer service terms
B1 Customer agreement and scope
Part B applies to fuel, lubricants, additives, diesel exhaust fluid, and related delivery, fueling, tank, monitoring, cleaning, or maintenance services expressly included in an accepted Order. An “Order” means a quote, service agreement, credit agreement, or order confirmation identifying the products or work and accepted by both parties. These customer terms apply only if provided before the transaction and accepted by signature, electronic acceptance, or express written agreement. Visiting the Website, submitting an inquiry, or making a payment alone does not accept Part B.
Mandatory law controls. A signed supply, service, or equipment agreement governs matters within its scope, and an executed and approved credit agreement governs the credit account, payment, and collection matters within its scope. These Terms do not amend either agreement solely by being posted on the Website. For other transaction matters, the signed agreement controls first, followed by the accepted Order, then Part B and Part C. Customer purchase order terms modify the agreement only when we expressly accept them in writing. Station, fuel card, equipment lease, and software programs may require separate agreements; no minimum volume, exclusive supply arrangement, or automatic renewal arises solely under these Terms.
B2 Prices taxes and payment
The accepted Order must identify the price or pricing formula, payment arrangements, and applicable additional charges. For approved credit accounts under an executed credit agreement, our standard payment term is 15 days unless another term is agreed in writing. The credit agreement or accepted Order must identify when that period begins and the applicable due date. Transactions without approved credit are payable according to the accepted Order. Applicable taxes and government charges may be added unless a valid exemption is provided.
Past-due amounts on approved credit accounts are subject to a finance charge at the lesser of 1.5% per month or the maximum rate permitted by applicable law, as provided in the executed credit agreement. If collection becomes necessary, the customer must pay collection costs provided for in Draft for review | Page 2 that agreement, including reasonable attorney fees, collection agency fees, and court costs, only to the extent recoverable under applicable law.
Delivery, fueling, waiting time, testing, tank or equipment work, emergency service, and other operational charges apply only when included in the accepted Order or separately approved in writing, except amounts otherwise recoverable under the accepted agreement or mandatory law. Returnedcheck fees and charges for authorized product returns, if applicable, are governed by the executed credit agreement and law. Applicable fee amounts must be disclosed and agreed where required; these Terms do not establish an unspecified restocking rate or returned-check fee. Contact us before returning any bulk or contaminated product, as required by Section B10.
Please notify our office in writing of billing errors or discrepancies within 15 days after receiving the invoice, identifying the invoice, disputed amount, and supporting facts. This is a request for prompt account review and does not waive or shorten rights or claim periods that cannot lawfully be waived. Product and service concerns remain subject to Section B8 and applicable law. Pay undisputed amounts when due and contact us promptly to resolve disputed amounts; any deferral must be agreed or required by law.
B3 Fuel pricing and availability
Fuel and related commodity prices may vary. Each Order must specify a fixed price or an agreed formula, including the relevant index, adjustment, and pricing time where applicable. Website information is not a binding price quote. We will confirm product availability and delivery requirements before acceptance. We will not substitute a different product or change an accepted price without customer agreement, except a change expressly allowed by the agreed formula or applicable tax law.
B4 Scheduling and site readiness
Delivery windows are estimates unless a specific commitment is accepted in writing. The customer must provide the correct location, product and quantity requirements, access instructions, an authorized site contact, and notice of hazards. The customer must ensure receiving tanks are suitable, properly identified, accessible, legally maintained, and have sufficient available capacity. The customer must identify the correct receiving connection and any incompatible existing contents.
We retain responsibility for our personnel, equipment, and safe transfer procedures. We may pause or decline a delivery when access, tank condition, capacity, or product compatibility presents a reasonable safety concern and will explain the issue. Additional return-trip or waiting charges require an agreed charge schedule or written approval.
B5 Quantity delivery records and risk
Delivered quantities will be recorded using lawful calibrated metering, certified scale records, or another measurement method specified in the Order. Any temperature correction or conversion basis must be disclosed. The customer should review delivery records and promptly report discrepancies. A delivery signature acknowledges receipt and recorded information; it does not waive claims for latent defects or losses not reasonably discoverable at delivery.
Unless the Order specifies otherwise, title and risk of accidental loss pass when the product has been delivered through the agreed receiving connection into the designated tank, vehicle, or equipment, or physically handed over for packaged goods. This allocation does not excuse a loss caused by our negligence, defective product, or breach. After delivery, the customer is responsible for proper storage and use.
B6 Product quality and proper use
We will supply the product and specifications identified in the accepted Order and perform agreed services with reasonable care and skill. The customer must follow applicable safety data sheets, equipment requirements, and lawful storage and use restrictions, including restrictions on tax-exempt or dyed fuels. Identify special operating requirements before ordering. No guarantee of a particular Draft for review | Page 3
fuel economy, equipment life, or operating result is made unless expressly agreed in writing. Manufacturer warranties apply according to their terms; applicable statutory warranties remain available unless lawfully modified in a separate accepted agreement.
B7 Tanks monitoring and customer equipment
Tank installation, rental, ownership, removal, maintenance, permitting, and site restoration duties must be stated in the Order or a separate equipment agreement. Each party is responsible for permits and compliance duties assigned to it or imposed on it by law. Customers must not alter or move our equipment without authorization.
Monitoring and automatic replenishment duties apply only as specified in the agreed program. Customers must report unusual consumption, suspected leaks, equipment faults, and connectivity failures and maintain any agreed backup checks. Monitoring does not guarantee uninterrupted inventory unless an express service commitment states otherwise. These provisions do not excuse a failure to perform agreed monitoring or delivery obligations.
B8 Service concerns and emergency work
Promptly report suspected wrong-product delivery, contamination, shortage, spill, or equipment damage. Stop affected operations when safe and preserve delivery tickets, samples, photographs, and other evidence. We will investigate reasonably and address confirmed nonconforming products or services as required by the agreement and applicable law. This request does not impose an abbreviated claim deadline or make replacement the exclusive remedy.
Emergency response requires direct telephone contact and our confirmation of scope, availability, and applicable charges. The customer remains responsible for emergency notifications and site actions assigned to it by law. Our response does not replace public emergency services or guarantee complete remediation unless expressly included in the accepted scope.
B9 Cancellations and changes
Request cancellations or changes as soon as possible. An Order may be canceled without a cancellation charge if we have not dispatched equipment, begun work, or made a noncancelable commitment for it. After that point, the customer is responsible for completed work and reasonable, documented costs specifically committed to the Order that cannot be avoided or recovered, without double recovery. Any fixed cancellation or minimum charge must be disclosed and accepted before the Order. We will take reasonable steps to reduce cancellation costs. These charges do not apply to a cancellation caused by our material breach.
B10 Returns and safety
Contact us before returning a product. Bulk fuel, opened products, and contaminated materials require specific handling arrangements and cannot be returned to a facility without authorization. This procedure does not eliminate rights for defective or nonconforming products. Each party will follow applicable fire, transport, occupational safety, and environmental requirements for its own activities.
B11 Responsibility and limitations
Each party remains responsible for its own negligence, willful misconduct, and breach of the agreed obligations. Customers are responsible for their own personnel and for the accuracy of information they supply. Nothing in these Terms transfers a statutory obligation away from the person responsible under applicable law.
TO THE EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION, ARISING FROM AN ORDER. THIS EXCLUSION DOES NOT APPLY TO FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, PERSONAL INJURY, PHYSICAL PROPERTY DAMAGE, ENVIRONMENTAL CONTAMINATION, AMOUNTS PAYABLE UNDER Draft for review | Page 4 SECTION B12, OR LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED. THESE TERMS DO NOT ESTABLISH A MONETARY CAP ON DIRECT DAMAGES.
B12 Third party claims
To the extent permitted by law, the customer will indemnify us for third-party claims and reasonable defense costs to the extent caused by the customer’s negligence, willful misconduct, materially inaccurate material or site information, or breach of its safety or compliance obligations under an accepted Order. This obligation does not cover the portion caused by our negligence, misconduct, or breach, or that of persons for whom we are responsible.
We must promptly notify the customer of a claim, reasonably cooperate, and allow the customer to control the defense using qualified counsel, subject to conflicts of interest. Neither party may settle a claim in a way that admits the other party’s fault, imposes nonmonetary obligations on it, or fails to release it without its written consent. This section does not waive mandatory carrier or environmental liability.
B13 Delays suspension and termination
A party affected by an event beyond its reasonable control, such as severe weather, a government restriction, or an unforeseeable supply interruption, must promptly notify the other party and take reasonable steps to reduce the effect. Performance is excused only to the extent and for the time actually prevented. Ordinary market price changes do not permit repricing an accepted fixed-price Order. Payment for completed work remains due. Either party may cancel the unperformed portion if the delay prevents the agreed purpose of the Order; unused prepayments will be refunded, less charges properly due.
We may stop work immediately when reasonably necessary to address a safety hazard, unlawful activity, or an undisclosed material risk. Credit-account restrictions and withdrawal of open credit are governed by Section B14 and the executed credit agreement. For other material breaches, we may suspend future service or terminate the affected Order after written notice and a reasonable opportunity to cure, subject to any controlling accepted agreement. We will safeguard materials in our custody and follow applicable transport, storage, and environmental requirements. Payment, claim, and responsibility provisions survive completion or termination to the extent needed to resolve existing obligations.
B14 Credit applications and separate authorizations
A credit application must be complete, accurate, signed by an authorized representative, and approved by Al Warren Oil before credit is extended. Approved accounts are subject to the limit established by our Credit Department and periodic review; customers must provide requested updates. Bank and trade reference investigations are governed by the authorization in the executed application. Approval of credit does not guarantee approval of every requested Order.
Under an executed credit agreement, we may restrict or withdraw open credit as that agreement permits. If an account becomes past due, credit privileges may be withdrawn without advance notice where permitted by that agreement and applicable law. We will communicate changes as required and confirm payment arrangements for future Orders. Withdrawal of credit does not itself accelerate amounts already owed unless the accepted agreement or law permits it, change an accepted Order’s terms without lawful authority, or eliminate our duties for products or equipment provided under existing Orders.
Any personal guaranty, security agreement, or consumer credit report authorization is governed by the separately executed applicable instrument and law. These Terms do not create or expand those obligations or authorizations. Signing for a business or using the Website does not alone make an individual a personal guarantor. Consumer reports will be obtained and used only for a permissible purpose and with any authorization required by law.
Part C General terms
C1 Applicable law and disputes
Except where controlling federal law or other mandatory law applies, these Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws rules. Subject to mandatory jurisdiction and venue requirements, disputes may be brought in the state courts located in DuPage County, Illinois or, when federal subject-matter jurisdiction exists, in the United States District Court for the Northern District of Illinois, Eastern Division. A valid forum provision in an executed credit or supply or service agreement governs matters within that agreement’s scope, subject to applicable law. Please contact us first to attempt a practical resolution; this request is not a condition to filing a claim and does not extend a filing deadline.
C2 Revisions
We may revise these Terms by posting a new effective date and providing additional notice or obtaining acceptance when required by law. Website revisions apply prospectively after appropriate notice. Revised customer service terms apply only to Orders for which the revised version is provided and accepted. Posting revisions does not change an existing accepted Order, executed credit agreement, personal guaranty, or other separately executed instrument.
C3 Agreement interpretation
Part A and the applicable provisions of Part C address Website use. Part B, Part C, the accepted Order, and any separately executed applicable credit, supply, or service agreement govern the customer transaction according to their respective scope and Section B1. No existing guaranty, security agreement, or credit authorization is superseded solely by these Terms. A failure to enforce a provision is not a waiver. If a provision is unenforceable, the remaining provisions remain effective to the extent permitted by law. No provision limits nonwaivable consumer, privacy, employment, transportation, or environmental rights or duties. Affiliated companies are responsible only for obligations they separately undertake. The customer’s agreement identifies the contracting company; a link, shared brand, or affiliate relationship does not by itself make another company a party.
